3. User Licences A separate user licence is required for each individual user. Licences are non-transferable between accounts, must not be shared, and shared access is strictly prohibited. Any attempt to share logins or otherwise circumvent licence limits may result in immediate account termination and loss of access.

4. Purchases You are encouraged to familiarise yourself with your statutory rights under applicable UK consumer protection legislation, including the Consumer Rights Act 2015. To process purchases (such as subscriptions or Squeegee credits), we may require payment information including payment card details and billing address. By providing this information, you confirm that:

• You are legally entitled to use the payment method provided.
• All information submitted is true, accurate, and complete.
• We may share that information with trusted third-party payment processors to complete your transaction.

We are not responsible for losses caused by inaccurate, incomplete, or fraudulent information supplied by you.

5. Charges, Billing and Payment Terms

5.1 Subscription Fees When creating an account, you agree to pay all applicable charges in line with the pricing in effect at the time of billing/renewal. This includes:

• setup fees;
• ongoing subscription charges;
• additional user licence fees where applicable.

Fees are paid in advance (monthly or annually depending on the plan). You remain responsible for all licence fees for the full term, regardless of whether all licences are used.

5.2 Updating Fees We may modify pricing or introduce new charges with at least 30 days’ prior notice, which may be delivered by email. All pricing terms are confidential.

5.3 Payment Methods You must provide a valid payment method (card or approved purchase order) to maintain access to the Service. All invoices are due immediately on issue, unless otherwise stated.

5.4 Squeegee Credits (SMS & Related Services)

Buying & Using Credits

• Credits can be purchased manually or automatically topped up if you enable auto top-up.
• Credits cannot be refunded under any circumstances.
• Credits cannot be transferred to another account.
• Credits have no monetary value and cannot be exchanged for cash.

Expiry & Removal

• Purchased credits expire 12 months from the date of purchase.
• Any extension to this expiry is entirely at the discretion of the Squeegee account management team.
• Credits left unused in a dormant account for more than 30 days may be removed.

SMS Messaging

• Two-way SMS messages are sent from shared Squeegee numbers by default.
• You can activate a private SMS number if required.
• Private numbers outside the UK and Northern Ireland may be subject to extra regulatory requirements and additional fees.
• Shared numbers are issued on a rolling basis and may change occasionally without notice to maintain the best possible message deliverability.

Pricing

• Credit pricing is available on the SMS settings page within the app.
• Prices are reviewed regularly.
• If pricing changes, we’ll give at least 30 days’ notice, which may be sent by email.

Fair Use Squeegee reserves the right to remove any credits that are misused or used fraudulently

5.5 Chargebacks

If a chargeback is raised, you will be responsible for any applicable fees if the chargeback is rejected by your bank or card provider:

• Administrative fee: £100 + VAT
• Payment provider fee (current): £25 + VAT
• Plus repayment of the disputed subscription/invoice amount

Fees may change without notice. To avoid unnecessary charges, please contact Squeegee Support before raising a dispute.

5.6 Non-Payment If payment is not received by the due date, we reserve the right to: restrict access to your account; apply statutory penalty charges under the Late Payment of Commercial Debts Act (1998); pass the invoice to our collections partner. No refunds are issued for valid subscription fees or outstanding invoices.

5.7 Refunds We’re happy to issue refunds where appropriate, but refunds must always be processed back to the original payment method used. We don’t refund via alternative methods (bank transfer, different cards, etc.), even if requested by the customer. This is to protect our business and the card holder (if card has been used without knowledge) from chargeback fraud.

6. Availability, Errors and Inaccuracies We continuously update our product and service offerings. Information on the Service may occasionally contain errors, inaccuracies, or omissions. We do not guarantee:

• accuracy or completeness of information;
• availability of any product or service.

We reserve the right to correct errors or update information without notice. Nothing in this section affects your statutory rights as a consumer.

7. Accounts and Security You must:

• provide accurate and complete account information;
• maintain one valid account per user;
• safeguard your password;
• notify us immediately of any unauthorised access. You are responsible for all activity under your login. We are not liable for losses arising from your failure to maintain the security of your account credentials.

8. Intellectual Property All intellectual property in the Service—including software, content, branding, design, and functionality—belongs to Nexdynamic LTD or its licensors. You may not copy, modify, distribute, or use any part of the Service without written permission.

9. Use of Reviews and Testimonials By submitting a review or testimonial about our services in the public domain (including, but not limited to, platforms such as TrustPilot, Google Reviews or social media), you grant us the right to use, reproduce and publish that review for marketing and promotional purposes. This may include use on our website, social media channels, advertisements and other marketing materials. We may edit reviews for length or clarity, but we will not alter the original meaning. Where reasonable, reviews may be displayed with the name and business name of the reviewer.

10. Links to Third-Party Sites Our Service may contain external links. We do not control and are not responsible for:

• the content,
• privacy practices, or
• security of third-party websites. Use such sites at your own risk. Please review their terms and privacy policies.

11. Termination We may suspend or terminate your account immediately for any reason, without notice. Specific reasons include but are not limited to:

• you breach these Terms;
• you misuse the Service; or
• we believe such action is necessary for security, legal, or operational reasons. Termination will include the removal of access to the Service. Sections relating to ownership, indemnity, disclaimers, liability limitations, and governing law survive termination.

12. Indemnification You agree to indemnify and hold Nexdynamic LTD harmless from any claims, losses, costs, or liabilities arising from or connected to:

• your use of the Service;
• any activity under your account;
• your breach of these Terms.

13. Limitation of Liability To the fullest extent permitted by law, Nexdynamic LTD will not be liable for:

• indirect, incidental, special, consequential, or punitive damages;
• loss of profits, data, goodwill, business or revenue;
• unauthorised access to your data;
• third-party conduct or content. Use of the Service is at your own risk.

14. Disclaimer The Service is provided “as is” and “as available”, without warranties of any kind—express or implied. We do not guarantee:

• uninterrupted or error-free operation;
• correction of defects;
• that the Service or servers are virus-free;
• that the Service will meet your expectations. We make no guarantees regarding uptime, availability, or performance.

15. Exclusions Under no circumstances shall Nexdynamic LTD be liable for any indirect or consequential losses, including economic, reputational, or data loss, even if we were informed of the possibility of such damage. This section applies regardless of the legal basis of the claim.

16. Governing Law These Terms are governed by the laws of England and Wales. If any part of these Terms is found invalid, the remaining sections remain enforceable.

17. Changes to These Terms We may update or replace these Terms at any time. For material changes, we will provide at least 30 days’ notice before they take effect. By continuing to use the Service, you accept the updated Terms.
